Social Marketing Company,
a large well-reputed not-for-profit organization involved in the
implementation of social programs wishes to recruit the following
professional. The company seeks a talented and aspiring candidate who
would join our team and meaningfully contribute to the efforts to reach
the organization’s goal.
POSITION TITLE: SECRETARY TO THE BOARD
RESPONSIBILITIES:
- Organize and prepare agenda and related papers for Board Meetings, Sub-committee Meetings, and Annual General Meetings.
- Prepare meeting minutes, draft resolutions, lodge
required forms, and follow up actions of the decisions taken in
meetings.
- Maintain statutory books, including registers of
Members, Directors and Chairman, and ensure filing of statutory forms
and submit those to Govt. authorities promptly and properly.
- Collect and correspond information, write report, and communicate decisions of boards to the relevant persons.
- Ensure that the Memorandum and Articles of Association are incorporated with correct procedures.
- Foster and develop corporate governance in compliance with the company law and code of conduct.
- Coordinate publication & distribution of the
company’s annual report, accounts, and interim statements in
consultation with the Board of Directors and the Management.
- Safeguard and protect the company’s interests at all
levels, i.e. legal, statutory, administrative, arbitrational, and in
other policy matters.
- Maintain, monitor, and ensure compliance while
dealing with the company’s securities as appropriate, maintaining
proper relationship with the Govt. authorities.
- Implement corporate acquisition, disposals, and
mergers; protect the company’s interests by ensuring the
effectiveness of all documents.
- Monitor changes in relevant legislation and regulatory environment and take appropriate action.
- Liaise with external regulators and advisers, such as lawyers and auditors.
QUALIFICATION AND EXPERIENCE:
- MBA/Masters in Finance/Accounts/ACA/FCA/ACS/FCS
- Qualified Chartered Secretaries/Chartered Accountants will get preference.
- Should have 12 years of working experience, with at least 5 years in a similar position.
- Not above 50 years of age.
- Hard-working and ability to work under pressure.
- Fluent in speaking and writing in English.
- Should have knowledge of Company Law, Company Act and related statutory requirements.
- Should have sound knowledge on RJSC & SEC formalities.
